ABS Partners Advises Riviere Group on Strategic Acquisition by Agthia Group PJSC

ABS Partners Legal Consultants LLC is proud to announce its role as the legal advisor to Riviere Mineral Water Desalination and Filling Factory LLC Group (“Riviere”) in the strategic sale of its entire 100% stake to Al Ain Food and Beverages PJSC, a subsidiary of Agthia Group PJSC (“Agthia”), a leading regional food and beverage company.

The transaction, which remains subject to customary closing conditions and regulatory approvals, represents a significant development in the UAE’s F&B and water bottling sector.

Founded in 2003, Riviere is a household name in purified bottled water, operating from its headquarters in Mussafah, Abu Dhabi. With three state-of-the-art bottling facilities across Abu Dhabi and Dubai, Riviere has built a reputation for exceptional quality, strict compliance with ISO, HACCP, and ESMA certifications, and a deep commitment to consumer health and safety.
Agthia Group PJSC, part of ADQ, is one of the region’s largest food and beverage conglomerates, listed on the Abu Dhabi Securities Exchange. With operations in eight countries and a workforce of over 11,000, Agthia’s acquisition of Riviere will enhance its presence in the UAE’s bottled water market, particularly in the home and office delivery segment.

ABS Partners’ transaction team was led by Partners Ajmal Khan Nadakkal and Bini Saroj, supported by Joe Mathew, Ayush A Haq, and Asif Rashid Abdul. The firm provided end-to-end legal and transaction support, including legal due diligence, deal structuring, and negotiation of definitive agreements.

The customary closing of the deal is anticipated in the coming months, pending final regulatory approvals from the relevant authorities.
